Narrative:

Cleared to cross dawna intersection at 12000'. Out of approximately 20000'. ATC called out traffic ahead of us at 16500'. We advised we did not have traffic in sight. Out of approximately 18000' ATC advised us that the traffic appeared to be clear and we could continue our descent to 12000' at our discretion. When we passed through 16500' traffic appeared just off to our left side approximately 200-500' away. Traffic was a cpr light transport Y VFR from las to lax at 16500'. This near miss could have been averted if ATC would have reclred us to only 17000' when we reported we didn't have the traffic in sight. The near miss could probably been avoided also if ATC hadn't advised us traffic appeared to be behind us and we could continue our descent to 12000' at our discretion as we would have stopped our descent at 17000' until we could see the traffic or we were correctly reported clear of traffic.

OUT OF APPROX 18000' ATC ADVISED US THAT THE TFC APPEARED TO BE CLR AND WE COULD CONTINUE OUR DSNT TO 12000' AT OUR DISCRETION. WHEN WE PASSED THROUGH 16500' TFC APPEARED JUST OFF TO OUR L SIDE APPROX 200-500' AWAY. TFC WAS A CPR LTT Y VFR FROM LAS TO LAX AT 16500'. THIS NEAR MISS COULD HAVE BEEN AVERTED IF ATC WOULD HAVE RECLRED US TO ONLY 17000' WHEN WE RPTED WE DIDN'T HAVE THE TFC IN SIGHT. THE NEAR MISS COULD PROBABLY BEEN AVOIDED ALSO IF ATC HADN'T ADVISED US TFC APPEARED TO BE BEHIND US AND WE COULD CONTINUE OUR DSNT TO 12000' AT OUR DISCRETION AS WE WOULD HAVE STOPPED OUR DSNT AT 17000' UNTIL WE COULD SEE THE TFC OR WE WERE CORRECTLY RPTED CLR OF TFC.
