Narrative:

Mem direct den, passed approximately 1/2-1 mi north of light twin, white with dark blue/black trim. Too far for north# recognition. Heading assigned 270 degrees, traffic appeared to head 090 degrees in level flight. Captain (PNF) saw aircraft at 10 O'clock. Aircraft passed to 9 O'clock in approximately 1 second. No evasive actions taken. If light twin on direct collision course, I doubt we would have seen him in time. Background: shortly after takeoff mem, we were vectored extensively and speed limited due to mem center workload by mem departure. My guess is that due to workload the non mode C light twin was not pointed out to us by center.

Narrative: MEM DIRECT DEN, PASSED APPROX 1/2-1 MI N OF LIGHT TWIN, WHITE WITH DARK BLUE/BLACK TRIM. TOO FAR FOR N# RECOGNITION. HDG ASSIGNED 270 DEGS, TFC APPEARED TO HEAD 090 DEGS IN LEVEL FLT. BACKGROUND: SHORTLY AFTER TKOF MEM, WE WERE VECTORED EXTENSIVELY AND SPD LIMITED DUE TO MEM CENTER WORKLOAD BY MEM DEP. MY GUESS IS THAT DUE TO WORKLOAD THE NON MODE C LIGHT TWIN WAS NOT POINTED OUT TO US BY CENTER.
