Descent to FL240. Armed altitude for FL240. Noticed the autoplt was not capturing altitude. Resumed manual control. Aircraft continued to descend to 350 ft below assigned altitude. Recovered and returned to FL240. Contributing causes: crew was tired. Crew was on duty over 8 hours and had flown through the night. Supplemental information from acn 394435: route of flight was ewr-fll, fll-atl, atl-mem. I need to be less trusting of the automation. Trip pairing was too demanding for our level of rest.
