Narrative:

Descending from FL290 to cross the shine intersection at 12000 ft on the shine arrival. At about 18000 ft VFR traffic was called by ATC at 12 - 1 O'clock about 5 mi at 15500 ft. ATC had asked us to hold 320 KTS or better. We were descending at 4000 FPM. At 17000 ft ATC recommended a level off at 16000 ft. At about 16500 ft we received a TCASII TA. The autoplt was disconnected due to the aircraft's high speed and sink rate as it was determined the aircraft would not be able to level off at 16000 ft without manual inputs. At 16300 ft a different voice from ATC advised us to maintain 16000 ft. At about the same time we received a TCASII resolution to climb. Our aircraft descended to 15700 ft before reaching a '0' sink rate and positive rate of climb. The first officer saw the aircraft at 3 O'clock.

THE AUTOPLT WAS DISCONNECTED DUE TO THE ACFT'S HIGH SPD AND SINK RATE AS IT WAS DETERMINED THE ACFT WOULD NOT BE ABLE TO LEVEL OFF AT 16000 FT WITHOUT MANUAL INPUTS. AT 16300 FT A DIFFERENT VOICE FROM ATC ADVISED US TO MAINTAIN 16000 FT. AT ABOUT THE SAME TIME WE RECEIVED A TCASII RESOLUTION TO CLB. OUR ACFT DSNDED TO 15700 FT BEFORE REACHING A '0' SINK RATE AND POSITIVE RATE OF CLB. THE FO SAW THE ACFT AT 3 O'CLOCK.
