Narrative:

Departing bur airport. ATC advised of traffic at 8500 ft. The TCASII advised of 'traffic' and finally a RA was commanded to 'descend.' aircraft was maneuvered down and under aircraft approaching from our 10 O'clock position. Last TCASII display was a red square with 300 ft vertical separation before aircraft was spotted, an small transport. Targets merged as aircraft flew directly overhead. Due to steep climbing vector, our aircraft 'ballooned' during push over and vertical separation was less than 200 ft. ATC advised to save tapes for near midair collision report.
