At FL350, en route den to tus, approximately 115 NM from san simon VOR on the 348 degree right, 'cleared direct,' abq ATC (frequency 135.8 MHZ) called 'large transport X, descend immediately to FL330!' I began descent, retarding thrust levers to idle and using speed brakes as expeditiously as possible with the seat belt sign off and passenger (3 first class, 72 coach and 3 children) and F/a's about, descended to FL330 in about 40-45 seconds. Wbound aircraft medium large transport Y visually acquired at about 10 mi, seen to pass above us slightly behind (estimated 2000') our vertical view. Controller declined filing report, stating had more than 5 mi radar sep at time standard vertical 2000' sep attained. Collision course noted by controller (whether visual radar or computer alerted, unknown). Crew response trusting and immediate, with position of traffic conflict requested. Sufficiently smooth that passenger seemed unaware of dangerous potential. Need collision avoidance warning system as soon as possible! Supplemental information from acn 90420: we complied instantly by retarding throttle and deploying speed brakes. I reported out of FL350, 345, 339 and 335, as well as FL220. Medium large transport Y crossed behind us left to right at 35000'. Controller advised us on 135.8 that he was not working the sector for the medium large transport Y.
