Narrative:

On departure from lax runway 24L on the loop 4; we were assigned 'climb to 15000 ft.' a short time later; we were told to turn left direct to lax and resume the loop 4 (including altitude restrs). We got an RA at 10000 ft to lower rate of climb. We also heard tower advise air carrier Y to 'stop climb.' we passed about 400 ft above and less than 1/2 mi behind a heavy air carrier Y B767-400; who was straight out of runway 25. This was a potentially disastrous ATC clearance. Due to the nose up position of our climb and window frame obstruction; we did not see air carrier Y until the TCASII warning.

Narrative: ON DEP FROM LAX RWY 24L ON THE LOOP 4; WE WERE ASSIGNED 'CLB TO 15000 FT.' A SHORT TIME LATER; WE WERE TOLD TO TURN L DIRECT TO LAX AND RESUME THE LOOP 4 (INCLUDING ALT RESTRS). WE GOT AN RA AT 10000 FT TO LOWER RATE OF CLB. WE ALSO HEARD TWR ADVISE ACR Y TO 'STOP CLB.' WE PASSED ABOUT 400 FT ABOVE AND LESS THAN 1/2 MI BEHIND A HVY ACR Y B767-400; WHO WAS STRAIGHT OUT OF RWY 25. THIS WAS A POTENTIALLY DISASTROUS ATC CLRNC. DUE TO THE NOSE UP POS OF OUR CLB AND WINDOW FRAME OBSTRUCTION; WE DID NOT SEE ACR Y UNTIL THE TCASII WARNING.
