Narrative:

I was told to climb from 4000-5000 ft and told to change to ZME on 132.1. Checking in with ZME, I told them I was out of 4500 ft for 5000 ft with no traffic in sight. They said roger. Then I saw the other aircraft passing off my right and rear. I climbed approximately 200 ft to avoid any contact. Then inquired to ZME what that was all about.

Narrative: I WAS TOLD TO CLB FROM 4000-5000 FT AND TOLD TO CHANGE TO ZME ON 132.1. CHKING IN WITH ZME, I TOLD THEM I WAS OUT OF 4500 FT FOR 5000 FT WITH NO TFC IN SIGHT. THEY SAID ROGER. THEN I SAW THE OTHER ACFT PASSING OFF MY R AND REAR. I CLBED APPROX 200 FT TO AVOID ANY CONTACT. THEN INQUIRED TO ZME WHAT THAT WAS ALL ABOUT.
