Narrative:

After departing frg en route to bridgeport ct, my student and I leveled off at 3000 ft navigating VFR to our first check point which was north port stacks. 1 mi south of the north port stacks my student and I saw a learjet coming from the north at 3000 ft directly at us. Suspecting the lear pilot did not see us on TCASII I asked frg tower if they had us on their brites radar. They did not. Ny approach on 118.00 did not have us either. We returned to frg and grounded the airplane for inoperative transponder.

WE RETURNED TO FRG AND GNDED THE AIRPLANE FOR INOP XPONDER.
