Narrative:

We were assigned a heading and altitude by departure control. As PNF, I was taking care of departure duties -- rechking our route. We were assigned 5000 ft. I heard the altitude alerter sound. When I looked up we were passing through 5300 ft. I grabbed the controls and pushed the aircraft over. Then the captain took over. The captain was hand flying the aircraft and became distraction. I'm not sure how he became distraction. The controller called us as we began our descent to 5000 ft. He said there was no conflict. What caused the problem was our inattn to carefully monitor the aircraft -- especially while the captain was hand flying the aircraft.
