Narrative:

Flight was cleared civet arrival over civet intersection via civet arrival to lax landing runway 25L. Passing bremr intersection at 14000 ft MSL socal advised 'traffic 10 O'clock position a B767 crossing in front to land lax north complex' we established visual contact. It appeared to be over seal beach VOR proceeding northwest toward lax estimated altitude approximately 13000 ft MSL. We were descending to cross arnes intersection at 10000 ft MSL, ATC advised us to slow to 250 KTS. While slowing and descending it was evident that both aircraft were going to meet at arnes at the same altitude. The B767 never (apparently) saw us. Evasive action was necessary to remain clear of them. We began a shallow climbing right turn to maintain visual with the B767. We crossed arnes at 13000 ft MSL and maneuvered behind the B767. Socal advised we were 1000 ft above B767. TCASII alerted 'descend, descend now.' this action would have (if followed) descended us into the B767. VMC and visual contact averted an ugly scene.
