Flight was cleared to descend to cross jaxsn intersection at FL260. During descent, aircraft 'clacker' (overspd warning) sounded approximately 20 KTS early (below barber pole). The distraction and immediate leveloff to reduce airspeed and to slow caused aircraft to arrive over jaxsn intersection approximately 450 ft high. No traffic conflict or verbalization from ATC. Jaxsn is located on the gso (greensboro) 058 degree radial at 70 DME.

Title: B727 FAILS TO MAKE AN ALT XING WHEN THE OVERSPD WARNING DISTRACTS THE CREW. THE ACFT IS SLOWED IN ITS RATE OF DSCNT TO ACCOMMODATE THE WARNING WHICH TURNED OUT TO BE IN ERROR.
