Narrative:

We were flying B737-200 after flying B737-300 previous 2 days. We had been cleared to descend to FL240. I had been copying ATIS for stl (our destination) and when I finished and looked up, we were passing FL242 and descending at 3200 FPM. I called out 'altitude 240-240' and the captain applied power and stopped the descent at FL234 and returned to FL240. All crew members must be alert, especially after flying aircraft with automatic altitude capture capabilities.
