Narrative:

I depart from hnl at XA00 am, on the freeway 3 departure to punchbowl. Over punchbowl, the controller advised of another helicopter (the xyz) on the shoreline 3 departure. I scan to look for the xyz and requested and received approval to proceed from punchbowl southward to the ala moana beach shoreline and then eastbound along waikiki beach. I maintained approximately 1000 ft MSL and kept scanning. I cleared left and made a 180 degree turn to the left to parallel waikiki beach wbound. (This is the usual tour route). I put on my landing light so that I would be more visible to the other aircraft. The pilot of the xyz says he has my aircraft in sight. We are still in controled airspace with honolulu departure control (124.8). I am now facing west and slowing airspeed to prepare for a 180 degree turn to the right eastbound towards diamond head. While still scanning, I see the xyz at 1 O'clock position, approximately 100 ft lower in altitude, and he passes off my right side within 200-300 ft between my aircraft and the waikiki shoreline. I can see the passenger and pilot clearly. I'm pulling my aircraft to the left to increase distance between me and the other helicopter. The controller had given an advisory on the other helicopter once, it would have helped if he could have given another while the 2 helicopters were converging on the shoreline. Also, if the other pilot had me in sight (and I was still looking for him), why didn't he also try to keep visual separation instead of deciding to pass so close? The helicopter is all white, and it is difficult to pick out the helicopter from the honolulu city buildings and skyline.

I PUT ON MY LNDG LIGHT SO THAT I WOULD BE MORE VISIBLE TO THE OTHER ACFT. THE PLT OF THE XYZ SAYS HE HAS MY ACFT IN SIGHT. WE ARE STILL IN CTLED AIRSPACE WITH HONOLULU DEP CTL (124.8). I AM NOW FACING W AND SLOWING AIRSPD TO PREPARE FOR A 180 DEG TURN TO THE R EBOUND TOWARDS DIAMOND HEAD. WHILE STILL SCANNING, I SEE THE XYZ AT 1 O'CLOCK POS, APPROX 100 FT LOWER IN ALT, AND HE PASSES OFF MY R SIDE WITHIN 200-300 FT BTWN MY ACFT AND THE WAIKIKI SHORELINE. I CAN SEE THE PAX AND PLT CLRLY. I'M PULLING MY ACFT TO THE L TO INCREASE DISTANCE BTWN ME AND THE OTHER HELI. THE CTLR HAD GIVEN AN ADVISORY ON THE OTHER HELI ONCE, IT WOULD HAVE HELPED IF HE COULD HAVE GIVEN ANOTHER WHILE THE 2 HELIS WERE CONVERGING ON THE SHORELINE. ALSO, IF THE OTHER PLT HAD ME IN SIGHT (AND I WAS STILL LOOKING FOR HIM), WHY DIDN'T HE ALSO TRY TO KEEP VISUAL SEPARATION INSTEAD OF DECIDING TO PASS SO CLOSE? THE HELI IS ALL WHITE, AND IT IS DIFFICULT TO PICK OUT THE HELI FROM THE HONOLULU CITY BUILDINGS AND SKYLINE.
