Narrative:

After flying transition at fox field, we were in a VFR climb (on a heading of approximately 180 degrees) to intercept V386. We had received an IFR clearance and were on a VFR climb out. At approximately 6000 ft I observed a yellow and white cessna rg (172?) in my 12 O'clock position. I immediately pushed forward on the yoke to avoid a midair. We came within approximately 300 ft of the other aircraft. Joshua did not call out the traffic. After the incident I informed joshua and was told that the cessna had an inoperative transponder. Apparently joshua was talking to the other aircraft and was aware of their general location and altitude.
