Narrative:

Cleared for takeoff with porte 1 departure. Cleared to 12000 ft with published crossing restrs. After takeoff, immediately upon contacting departure control, our final clearance altitude was amended to 4000 ft for conflicting traffic. Controller asked with some urgency if we had traffic in sight. We did not see him visually or on TCASII. We became concerned with traffic and since we were visual became engrossed in sighting same. Due to rate of climb we exceeded leveloff altitude by 500-600 ft. Descended immediately to 4000 ft. Never saw conflicting traffic on TCASII or visually.

Narrative: CLRED FOR TKOF WITH PORTE 1 DEP. CLRED TO 12000 FT WITH PUBLISHED XING RESTRS. AFTER TKOF, IMMEDIATELY UPON CONTACTING DEP CTL, OUR FINAL CLRNC ALT WAS AMENDED TO 4000 FT FOR CONFLICTING TFC. CTLR ASKED WITH SOME URGENCY IF WE HAD TFC IN SIGHT. WE DID NOT SEE HIM VISUALLY OR ON TCASII. WE BECAME CONCERNED WITH TFC AND SINCE WE WERE VISUAL BECAME ENGROSSED IN SIGHTING SAME. DUE TO RATE OF CLB WE EXCEEDED LEVELOFF ALT BY 500-600 FT. DSNDED IMMEDIATELY TO 4000 FT. NEVER SAW CONFLICTING TFC ON TCASII OR VISUALLY.
