Narrative:

Descent clearance was given and read back 'out of FL370 for FL230.' frequency changed new frequency check-in was 'out of FL330 for FL230.' passing FL320, controller asked what our cleared altitude was and we replied 'cleared to FL230.' he informed us that initial clearance was FL330 -- descend and maintain FL290. We acknowledged FL290 and apologized for the miscom. Controller said no problem. Captain missed initial clearance due to being off frequency for the mem ATIS.
