Narrative:

Proceeding outbound in holding pattern at 'conny' intersection. Got TCASII advisory 'traffic, traffic.' TCASII showed traffic 12 O'clock, 10 NM, same altitude. Then almost immediately, got TCASII RA 'climb, climb.' captain took control of aircraft , disengaged autoplt and initiated a climbing right turn. Simultaneously, ZFW directed us to 'turn right 45 degrees and descend to FL310 immediately!' by that time, however, we were already climbing and received a 'clear-of-conflict' aural from the TCASII (maximum altitude was to FL337). Later telephone conversation revealed that ZFW had reviewed their tapes and would accept fault. They also advised that we had separation of 800 ft vertically and 2.7 NM horizontally. Supplemental information from acn 283941: open arrival at dfw I contacted our company flight control. Company contacted atl whom had already reviewed the tapes.
