Narrative:

On radar vectors to runway 17L at dfw airport, our flight was on a dog leg to final as approach control advised our traffic to follow was an airliner. The captain believed the traffic was on short final, however, viewing the TCASII, I picked up the actual traffic at approximately 2 1/2 mi and being overrun. This was at about 7 mi from touchdown. Much discussion pursued concerning slowing down, s-turns, etc, to increase interval. Meanwhile, tower cleared us for landing, but we did not respond to clearance due to our distraction. None of the 3 of us remember 'rogering' the clearance until rollout.

Title: FLC OF AN LGT ACR ACFT WERE DISTRACTED BY TCASII WARNING SOUND DURING FINAL APCH AND FAILED TO ACKNOWLEDGE THE TWR'S CLRNC TO LAND.

THE CAPT BELIEVED THE TFC WAS ON SHORT FINAL, HOWEVER, VIEWING THE TCASII, I PICKED UP THE ACTUAL TFC AT APPROX 2 1/2 MI AND BEING OVERRUN. THIS WAS AT ABOUT 7 MI FROM TOUCHDOWN. MUCH DISCUSSION PURSUED CONCERNING SLOWING DOWN, S-TURNS, ETC, TO INCREASE INTERVAL. MEANWHILE, TWR CLRED US FOR LNDG, BUT WE DID NOT RESPOND TO CLRNC DUE TO OUR DISTR. NONE OF THE 3 OF US REMEMBER 'ROGERING' THE CLRNC UNTIL ROLLOUT.
