Narrative:
Departing mem airport climbing to 5000 when departure gave us a clearance to 12000 MSL and a left turn to 080 from a 180 heading. Leaving 5000 ft when our TCASII reported traffic at our 10 O'clock position. As we rolled out on 080 degree our TCASII reported an RA with a descend command. We were climbing out of 5300 so we descended back to 5000 as we visually spotted an medium large transport at our 12 O'clock position. I believe we passed about 1000 ft apart.

Narrative: DEPARTING MEM ARPT CLBING TO 5000 WHEN DEP GAVE US A CLRNC TO 12000 MSL AND A L TURN TO 080 FROM A 180 HDG. LEAVING 5000 FT WHEN OUR TCASII RPTED TFC AT OUR 10 O'CLOCK POS.
