Narrative:
On an assigned heading of 090 at FL370 we were instructed to turn left to a 020 heading. Passing through 050 heading we were instructed to turn right to a 110 heading and descend to FL350. At this time we received a TCASII TA. We observed traffic within 5 mi and 300 ft. ATC gave no warning and the turn and descent were given as a normal clearance. We increased our rate of descent and center asked us to report level and then asked if we were level. We did have a visual on the heavy and he stated that he saw us.

Title: MLG FLT IN DSCNT HAD TCASII TA AND SAW HVT TFC. HVT TFC ALLEGEDLY ALSO HAD MLG IN SIGHT. LTSS OCCURRED.

WE INCREASED OUR RATE OF DSCNT AND CENTER ASKED US TO RPT LEVEL AND THEN ASKED IF WE WERE LEVEL. WE DID HAVE A VISUAL ON THE HVY AND HE STATED THAT HE SAW US.
