Narrative:

We were westbound at an assigned altitude of 11000', positioned as stated above. We were waiting for a visibility approach clearance. ATC was very busy and had not given us clearance yet, but cleared a company light transport who was on a left downwind to turn base and descend. Company aircraft was higher than us and descending directly into our flight path. At that time a different ATC controller interrupted and told us to turn left heading 170 degrees. The company aircraft leveled out as we were turning left. The company aircraft went directly over us at approximately 200' while we were turning. ATC workload and confusion were probably responsible.
